The International Finance Corporation (“IFC”) has been mandated by Unitel S.A. (“Unitel”) to act as lead transaction advisor in its partial re-privatization through the sale of the shares held by one or more of Unitel’s shareholders on the Angola Securities and Debt Stock Exchange (“BODIVA”) and/ or by any other suitable mechanism in compliance with all applicable laws and regulations of the Republic of Angola (the “Project”). IFC seeks to hire an Auditing firm to support IFC with the audits related to the sell-side due diligence and transaction implementation; including performing a preliminary audit: (i) of the accounts and internal control system of Unitel to determine the feasibility of the various possible transaction structures; (ii) to clarify the main liabilities existing on the balance sheet with public and private entities; in order to determine the feasibility of different transaction structures; their impact on Unitel's debts and possible restructuring options; (iii) clarify Unitel’s main assets and (iv) Assess the balance sheet structure and capital structure and all other important aspects for the listing and sale to a strategic investor.
